Third Party Provider Terms

General Terms

Addepar, Inc. ("Addepar") offers services to its customers and partners (the "Services") that may include data or other products from third parties. The terms in this General Terms section and within each provider-specific section below (the "Terms") are incorporated into the agreement(s) between you and Addepar governing your use of the Services. By using the Services, you agree to be bound by the Terms.

With regard to all third party providers, unless specified otherwise within the provider-specific terms below, you agree that certain functionality in the Services or any Supplemental Service, may rely on or incorporate data or other products from third parties ("Third Party Data"). Unless the provider-specific terms below or your agreement directly with a third party provider states otherwise, Third Party Data may be included in client reports but may not be exported via Addepar’s API(s) or other export tools. 

Addepar has entered into agreements with various providers of Third Party Data under which (a) Addepar has the right to distribute the Third Party Data to you, (b) you have the right to access and use the Third Party Data solely for your internal business purposes (including as necessary for your provision of services to your clients in your ordinary course of business) and (c) Addepar has agreed, under certain of these agreements, to grant such Third Party Data providers third-party beneficiary status with respect to its Third Party Data. you may not (i) redistribute the Third Party Data except as provided for herein or within your agreement(s) with Addepar, (ii) use or permit to be used the Third Party Data for any unlawful purpose, or (iii) enable your customers or other end users to use Third Party Data other than for their personal non-commercial use. Access to Third Party Data is subject to termination in the event that any agreement between Addepar and such third party provider terminates for any reason, which shall not be deemed to be a material breach of any agreement by Addepar. Third Party Data may be subject to additional restrictions on use or redistribution, as set forth below.

Except where you have entered into a relevant written agreement directly with a Third Party Data provider, you have no contract with any third party provider in respect of the supply or use of any Third Party Data. Third Party Data providers do not owe you any duty of care with respect to their data or services, nor do they accept any responsibility for them. If an implied contract or duty should be held to exist, Addepar, as agent for each third-party licensor and solely for the purpose of the following exclusion, disclaims all liability of each third-party licensor for any of your losses which may arise under that implied contract or duty.

Third Party Data providers do not warrant that the provision of Third Party Data will be uninterrupted, error free, timely, complete, or accurate, nor do any of them make any warranties as to the results to be obtained from use of the same. You acknowledge that no aspect of Third Party Data constitutes a recommendation of any kind and is provided for informational purposes only. You expressly agree that your use of Third Party Data is at your own risk. Accordingly, Third Party Data providers will not in any way be liable to you or any other entity for any inaccuracies, errors, omissions, delays, damages, claims, liabilities, or losses, regardless of cause, in or arising from the use of the third-party data contained in Addepar's services. Third Party Data is provided “AS-IS” without any warranty of any kind. Any references within Third Party Data to a particular investment or security is not a recommendation to buy, sell or hold any investment or security.

ICE

ICE Data products

As used below, “Client” means you, the user of the Addepar platform that may have access to ICE Data, to the extent you do have said access.  


1. ICE DATA SERVICES AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABILITY, FITNESS OR ANY OTHER MATTER AND SHALL HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY ERRORS, OMISSIONS OR MALFUNCTIONS IN THE SERVICES.

2. Client acknowledges that the Services are intended for use by institutional investors, registered brokers,professionals and others of similar sophistication and experience.

3. Client accepts responsibility for, and acknowledges it exercises its own independent judgment in, its selection of any of the Services, its selection of the use or intended use of such, and any results obtained. Nothing contained herein shall be

deemed to be a waiver of any rights existing under applicable securities law.

4. Client shall indemnify ICE Data Services and its suppliers against and hold ICE Data Services harmless from any and all losses, damages, liability, costs, including attorney's fees, resulting directly or indirectly from any claim or demand against

ICE Data Services or its suppliers by a third party arising out of or related to any Services received by Client, or any data, information, service, report, analysis or publication derived therefrom. Neither ICE Data Services nor its suppliers shall be liable for any claim or demand against Client by a third party.

5. ICE Data Services and its third party suppliers shall constitute third party beneficiaries hereunder.

6. Unless otherwise agreed to in writing, the Data may be used by Client solely for their internal use and benefit within the Approved Product(s). Use of the Data expressly excludes, without limitation, the following, unless express prior

authorization, in writing, by ICE Data Services:

• Use to create or assist in the creation of any index

• Use for fund valuation purposes, including but not limited to, fund accounting, net asset value and indicative net asset value calculations

• Use in the construction of a security master or cross-reference database

• Further dissemination in any form to any other third party; use of the Data for a joint venture to which Client is a party

• Use in replacement of any data received by you directly or indirectly from ICE Data Services under any other agreements you may have with ICE Data Services, or another third party service provider or distributor whereby you receive ICE Data Services’ data or information

• Use of in the construction of data, products or services that may compete with data, products or services available from ICE Data Services and/or its affiliates.

7. Client agrees to keep complete and accurate books, records and related documentation concerning the use of the ICE Data Services’ Data. ICE Data Services and/or its Third Party Suppliers, either directly or through a third party independent auditor, are hereby granted the right to (i) audit and examine, upon reasonable notice, Client’s books, records and applicable computer equipment, devices, components, transmission equipment and software used by Client in connection with the installation, maintenance, accessing, delivery, transmission, reception, retrieval

or use by Client of the ICE Data Services’ Data, and (ii) observe, upon reasonable notice, operations conducted by Client relating to the use of the Data. This right will be exercised by ICE Data Services not more than once during any twelve (12) month period pursuant to any reasonable security or confidentiality provisions at Client’s request.

IHS Markit

IHS Markit Products

The information and data provided herein (the “data”) is, or is derived from or created using, the proprietary property of Cambridge Associates, LLC and/or its affiliates (“Cambridge Associates”) and/or S&P OpCo, LLC (a subsidiary of S&P Dow Jones Indices, LLC) and/or any of their respective affiliates (“IHS Markit”). By using such data, you hereby agree to provide reasonable assistance to enable IHS Markit to audit your use of such data. Unless you are in possession of a valid license from IHS Markit for access, use or distribution of the data, you may not, except as expressly permitted by such IHS Markit license: (i) copy, share, sell, distribute or otherwise make the data available to any other party; (ii) use the data contained herein in any other manner, including for any internal or external business purposes; or (iii) use the data as a basis for financial contracts, financial instruments, financial products, indices or as a benchmark under the IOSCO Principles for Financial Benchmarks published by the International Organization of Securities Commissions on 17 July 2013, the European Union Regulation on Benchmarks (“EU BMR”) and/or the retained EU BMR in the United Kingdom, as may be amended from time to time (together the “Regulatory Framework”), except as expressly communicated to you in writing by the provider of this data. Users of this data acknowledge and agree that Cambridge Associates calculates and administers the data but is not authorized as an “Administrator” under the Regulatory Framework, and (iv) IHS Markit is acting in the capacity of distributor of the data and does not have any responsibility for the compilation, composition, changes, calculation or administration the data.


The users of this data acknowledge and agree that no duty of care is owed to them or to any other person by IHS Markit, Cambridge Associates or any of their respective third party data or service providers (“data providers”) and that use of data creates no fiduciary or other relationship in contract or in tort between the users or any other person and IHS Markit, Cambridge Associates or any data providers.

The data is provided on an “as is” basis. Neither IHS Markit, Cambridge Associates nor any data provider (a) makes any warranty, express or implied, as to the availability, accuracy, completeness or timeliness of the data, nor as to the results to be obtained by users of the data, nor as to the quality, performance or fitness for a particular purpose of the data; or (b) shall in any way be liable to any user of the data for any inaccuracies, errors or omissions in the data, regardless of cause, or for any damages (whether direct or indirect) resulting therefrom. Each of IHS Markit, Cambridge Associates and any data provider shall be a third-party beneficiary of these, and any other disclaimers provided in the agreement or within the data and shall have the right to enforce the same.

  • You represent that you will not redistribute the Data in any form or manner to any third party.

  • You represent that you will not use or permit anyone else to use the Data in connection with the creating, managing, advising, writing, trading, marketing or promotion of any securities or financial instruments or products, including, but not limited to, funds, synthetic or derivative securities (e.g., options, warrants, swaps, and futures), whether listed on an exchange or traded over the counter or on a private-placement basis or otherwise or to create any indices (custom or otherwise).

  • You represent that you will treat the Data as proprietary to MSCI. Further, you acknowledge that MSCI is the sole and exclusive owner of the Data and any trade secrets, copyrights, trademarks and other intellectual property rights in or to the Data.

  • You represent that you will not (i) copy any component of the Data, (ii) alter, modify or adapt any component of the Data, including, but not limited to, translating, decompiling, disassembling, reverse engineering or creating derivative works, or (iii) make any component of the Data available to any other person or organization (including, without limitation, the Customer's present and future parents, subsidiaries or affiliates) directly or indirectly, for any of the foregoing or for any other use, including, without limitation, by loan, rental, service bureau, external time sharing or similar arrangement.

  • You are obligated to reproduce on all permitted copies of the Data all copyright, proprietary rights and restrictive legends appearing on the Data.

  • You agree to indemnify and hold harmless Addepar, its information providers, and any other third party involved in or related to the making or compiling of the Data, their affiliates and subsidiaries and their respective directors, officers, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys’ fees and costs, as incurred, arising in any manner out of the your or any third party’s use of or inability to use, the Data or any breach by you of any provision contained in this Agreement.

The Global Industry Classification Standard (GICS) was developed by and is the exclusive property of MSCI Inc. and Standard & Poor’s. GICS is a service mark of MSCI and S&P and has been licensed for use by Addepar.

Client acknowledges that the Information is intentionally provided in an anonymous and aggregated form and shall use the Information solely for its internal business purposes, and, except as contemplated by the Client Agreement with Addepar or this Terms of Use, shall not, directly or indirectly, (a) translate, decompile, recompile, disassemble, disaggregate, reverse engineer (including, without limitation, to acquire or attempt to acquire information that is not directly displayed or communicated to Client, or to use the Information to identify or attempt to identify the underlying individual sources of the Information (e.g., individual managers, funds, companies, or holdings)); (b) plagiarize, rewrite or reprocess the Information; (c) redistribute the Information or any portions thereof, to anyone without prior written consent from Cambridge Associates,LLC(and its affiliates)(“CambridgeAssociates”);(d) grant any rights in or provide access to or otherwise redistribute the Information in a manner that could reasonably infringe the Intellectual Property Rights of Cambridge Associates; (e) use the Information to construct or facilitate the construction of products which compete with the Information,(f) in the case of GICS Data (defined below), use the GICS Data to construct or facilitate the construction of products which compete with the GICS Data, or use the GICS Data to verify the accuracy of other data or to correct such other data; (g) use the Information to create, issue, manage, sponsor or develop any financial products (including, without limitation, derivatives, funds, structured products or contracts for difference) where the price, return and/or performance of such product is based on or intended to track any index published by Cambridge Associates or derived from the Information; or (h) violate any applicable laws or regulations relating to use of the Information during the term of the Client Agreement. Recipient may not assign or transfer its rights or obligations under the Client Agreement or thisTerms of Use without the prior written consent Cambridge Associates.Notwithstanding anything to the contrary in the foregoing, Client may use, on an ad-hoc basis, Insubstantial Portions of the Information in presentations to its clients, prospective clients, and its professional advisors (where “Insubstantial Portions” is defined as: limited extracts which: (i) have no independent commercial value; (ii) could not be used as a substitute for the Information; and (iii) could not be used to assemble disaggregated information from the Information) in a Non-Systematic manner (where “Non-Systematic” is defined as: use on an infrequent basis and not automatically generated by machine or regularly created by individual users), provided that Cambridge Associates is cited as the source of the Information.In addition, specific individuals employed by Client who have been entitled to the “Private Equity Benchmark Add-On” (subject to the terms of a written agreement with Refinitivin respect of same) (each, an “Entitled User”) may (a) modify the Information and create Derived Data, solely for the Entitled User’s individual use; (b) distribute internally Information and Derived Data to other Entitled Users employed by Client; and (c) distribute internally and redistribute externally Insubstantial Portions of Derived Data in a Non-Systemic manner. “Derived Data” is defined as: data which has been modified to such a degree that it cannot be (i) recognized as deriving from the Information; (ii)reverse engineered; or (iii) otherwise traced back to the Information, without an extraordinary amount of time and effort other than by the creator. All other Information that does not satisfy these criteria constitutes “Information.”

Intellectual Property. Client agrees that (a) Cambridge Associates retains all right, title and interest, including all intellectual property rights, in and to the Information and any and all copies, modifications, enhancements, and derivative works thereof (excluding Derived Data), (b) Client has no right or interest in the Information except as expressly provided herein, and (c) the Information as compiled, prepared, selected and arranged by Cambridge Associates constitutes an expenditure of substantial time, effort and money by Cambridge Associates and constitutes valuable commercial property and/or trade secrets of Cambridge Associates. Client shall retain Cambridge Associates’ copyright and trademark notices on all downloaded and printed copies of the Information. Client agrees not to infringe or violate the intellectual property rights or other proprietary rights of Cambridge Associates and agrees to notify Cambridge Associates in writing promptly upon becoming aware of any unauthorized access to or use of the Information. Client may not use the Cambridge Associates name or trademarks without the prior written consent of Cambridge Associates.Client acknowledges and agrees that the Information integrates the Global Industry Classification Standard data and information related thereto (“GICS Data”), and that Standard & Poors Financial Services (“S&P”) and MSCI, Inc. (“MSCI”) are the sole owners of the GICS Data (including all trade secrets, copyrights, trademarks and other intellectual property rights related to the GICS Data). The Client acknowledges that (i) S&P or MSCI may, in its sole and absolute discretion and at any time, terminate the Clients’ right to receive and/or use the GICS Data; and (ii) provision of the GICS Data is subject to termination in the event that the agreement between Cambridge Associates and MSCI or S&P governing the GICS Data is terminated in accordance with its terms. The Client agrees that MSCI and S&P are third party beneficiaries of these Terms of Use and the Agreement, and is entitled to enforce all provisions of these Terms of Use and the Agreement related to the provision of the GICS Data.DISCLAIMER OF REPRESENTATIONS AND WARRANTIES. All S&P Services

As used herein, “Platform User” means you, the user of the Addepar platform, to the extent you have access to S&P data.


(i) The Platform User is prohibited from uploading any of the S&P Services onto any computer network (i.e., intranet);

(ii) Each Platform User may download the Licensed Data to a desktop/computing device used solely for such Desktop User’s individual use and not for any centralized, interdepartmental or shared use;

(iii) Once downloaded to a Platform User’s computing device, the Licensed Data must remain on such Platform User’s computing device and may not be uploaded, copied or transferred to, or stored or managed in, any other desktop/computing device, including that of another Platform User, or any device, directory, database or other repository that is shared or can be accessed by others (e.g. the download functionality may not be used to populate master security databases); 

(iv) Platform Users may download the Licensed Data only as a convenience in connection with Platform Users’ use of the Licensee Services and as an alternative to obtaining a full license to the S&P Services from and/or pursuant to an agreement with S&P.
